I. GENERAL PROVISIONS

1. Purpose of this document

These General Terms and Conditions (hereinafter: "GTC") govern the use of the online platform operated by Smairthub (hereinafter: "Service Provider") (hereinafter: "Platform"). The Platform consists of a framework and modules, which operate with USD‑based, usage‑based billing.

By using the Platform, the User accepts the provisions of this GTC.

3. Structure of the service

The Platform consists of two main parts:

  1. Framework – user identification, invoicing, balance management, serving modules.
  2. Modules – separate functional components, each operating with USD‑based, usage‑based billing.

The legal terms of the modules are defined in separate annexes to this GTC.

II. FRAMEWORK SERVICES

The framework provides the following services:

  • user identification (email + OTP)
  • optional mobile phone number and SMS‑based verification
  • billing profile management
  • balance top‑up (Stripe → SzĂĄmlĂĄzz.hu)
  • coupon‑based top‑up
  • invite‑a‑friend function
  • per‑action charge and usage logging
  • support system (ticketing)
  • access to and use of modules

III. REGISTRATION AND AUTHENTICATION

1. Registration

During registration, the User provides:

  • username
  • email address

The system sends an OTP email for verification.

2. Login

Login is performed by entering the email address and verifying the OTP email.

3. Mobile phone number

Providing a mobile phone number is optional; however, certain functions (e.g. welcome bonus) are only available after SMS‑based verification.

IV. BILLING PROFILE

Before topping up real money, the User must provide:

  • name
  • country
  • tax number (if applicable)
  • billing address

Invoicing is performed by SzĂĄmlĂĄzz.hu.

V. BALANCE MANAGEMENT AND PAYMENT TERMS

1. Usage‑based billing

The Platform applies direct, usage‑based billing for all actions. The fee for each action is deducted from the User's USD balance.

2. Balance top‑up

The User may top up their balance in the following currencies:

  • USD
  • EUR
  • HUF

Minimum top‑up amounts:

  • 2000 HUF
  • 5 EUR
  • 5 USD

Payment provider: Stripe
Invoicing: SzĂĄmlĂĄzz.hu.

3. USD‑based operation (real conversion)

All internal calculations of the system are performed in USD. The topped‑up amount is irreversibly converted to USD at the time of top‑up.

After conversion, the User holds a USD balance, which is used by the system to deduct the fees of actions performed on the Platform.

4. Exchange rate handling and changes

The exchange rate used for conversion is updated daily from the following API: https://open.er-api.com/v6/latest/USD .

The User acknowledges that:

  • the conversion at the time of top‑up is final,
  • the later HUF/EUR value of the USD balance may change due to exchange rate fluctuations,
  • the Platform does not guarantee preservation of the original HUF/EUR value.

This means that if the User tops up 2000 HUF and this equals 5 USD at the time of top‑up:

  • the next day, 5 USD may equal 1976 HUF or 2014 HUF,
  • the balance in USD remains unchanged,
  • the displayed HUF/EUR value is for information purposes only.

5. No subscription fee

Smairthub does not apply monthly subscription fees or hidden charges. The User only pays for actions actually performed.

6. Coupon‑based top‑up

Coupon‑based top‑up does not qualify as a real financial transaction. The value of coupons is credited as USD balance.

7. Invite‑a‑friend function

The User may invite others to the Platform by providing their email address. If the invited person registers, the User receives a bonus. The invitation email is sent in a GDPR‑compliant manner.

8. Usage history

The Platform logs the number, type and fee of actions performed. This serves audit purposes.

VI. USE OF MODULES

1. General rules for modules

Modules provide separate functions and operate with USD‑based, usage‑based billing. The detailed legal terms of the modules are defined in separate annexes.

The list of modules may be extended; adding new modules does not require modification of this GTC.

2. Annexes of modules

The detailed terms of the modules are defined in separate documents:

  • Annex 1 – Spreadsheet AI Module Terms
  • Annex 2 – Social Factory AI Module Terms

VII. DATA PROCESSING AND RETENTION

Data processing activities are described in the Smairthub Privacy Notice. The Platform operates in a GDPR‑compliant manner.

Data uploaded to the Spreadsheet AI module is automatically deleted within 12 hours at the latest. Deletion is irreversible.

Content generated by the Social Factory module is retained for a maximum of 7 days, after which it is automatically and irreversibly deleted.

VIII. AI PROCESSING

Modules may perform AI‑based processing. The full dataset is not transferred to the AI; only:

  • the structure of the table,
  • data types,
  • a few sample rows.

This ensures data security and minimal data transfer.

IX. LIMITATION OF LIABILITY

The Service Provider shall not be liable for:

  • incorrect data uploaded by the User,
  • non‑intended use of modules,
  • failures of external providers (Stripe, SMS provider, exchange rate API),
  • internet connectivity issues.

The Platform is provided on an “as is” basis.

X. TERMINATION OF THE CONTRACT

The User may delete their profile at any time. Upon deletion, all data is permanently deleted.

The Service Provider may terminate the contract in case of:

  • breach of this GTC,
  • suspected abuse,
  • unlawful activity.

XI. DISPUTE RESOLUTION

Hungarian law shall govern the resolution of disputes. The competent court is determined by the registered seat of the Service Provider.

XII. AMENDMENT OF THE GTC

The Service Provider is entitled to amend this GTC. Users will be notified of amendments by email.

Annex 1 – Spreadsheet AI Module Terms

Smairthub – Module Specific Terms

1. Purpose and operation of the module

1.1 Purpose of the module

The purpose of the Spreadsheet AI module is to structure, transform, clean and optimize tabular data (CSV, XLS/XLSX) uploaded by the User, and to make the processed data available to the User in downloadable form (CSV, XLS/XLSX).

1.2 Short description of operation

  • The User uploads the table (CSV/Excel).
  • The system analyses the structure and temporarily stores the data in the server database.
  • The module uses AI‑based assistance for processing.
  • The processed, structured table becomes available for download to the User.

2. AI usage and data transfer

2.1 Scope of AI usage

The module uses artificial intelligence (AI) services during processing. The Service Provider aims to transfer only the minimum amount of data necessary for AI usage.

2.2 Scope of transferred data

The full dataset is not transferred to the AI. The AI receives only the following information:

  • the structure of the table (columns, fields, data types),
  • types of fields,
  • a few sample rows for accurate processing.

2.3 Data security

The Service Provider applies data minimization during operation of the module and transfers only data necessary for processing to the AI provider.

3. Data retention and deletion

3.1 Temporary storage

Uploaded tabular data is stored temporarily in the server database solely for the purpose of processing and enabling download.

3.2 Deletion time

All uploaded data is automatically deleted within 12 hours at the latest. Deletion is irreversible; the Service Provider cannot restore deleted data.

3.3 Responsibility for data

The User is responsible for ensuring that the original data source (own files, systems) remains available, as the module is not intended for long‑term data storage.

4. Pricing and billing

4.1 Basis of pricing

Use of the Spreadsheet AI module is subject to direct, usage‑based billing. Each action performed by the module (analysis, transformation, AI processing, download) incurs a separate fee.

4.2 Per‑action deduction

Fees for actions are deducted from the User's USD balance. Deduction occurs automatically when an action is initiated.

4.3 USD‑based operation

Module fees are defined in USD. The User's balance is converted to USD in accordance with the main GTC, and fees for actions are deducted from this balance.

4.4 Failed actions

If an action does not complete due to technical error, the fee is not deducted or is automatically re‑credited.

5. User responsibility

5.1 Content of data

The User bears exclusive responsibility for the content, accuracy and lawfulness of uploaded data. The Service Provider does not examine whether uploaded data contains personal data, trade secrets or confidential information; the User is responsible for lawful use.

5.2 Prohibited content

Use of the module is prohibited for:

  • processing unlawful content,
  • data processing that infringes the rights of third parties,
  • data for which the User is not entitled to perform processing.

6. Limitation of Service Provider's liability

6.1 Quality of results

The Service Provider does not guarantee that the processed table is free of all errors, correctly interprets all business logic or meets all specific user requirements. The module operates on a “best effort” basis.

6.2 Business decisions

The User acknowledges that business decisions based on results generated by the module are made solely at the User's own risk.

7. Modification and termination of the module

7.1 Modification of functions

The Service Provider is entitled to modify, develop or restrict the functions, pricing and operation of the Spreadsheet AI module.

7.2 Termination of the module

The Service Provider is entitled to terminate the module in whole or in part. The User will be notified of termination in advance where technically and commercially reasonable.

Annex 2 – Social Factory AI Video Module Terms

Smairthub – Module Specific Terms

1. Purpose and operation of the module

1.1 Purpose of the module

The purpose of the Social Factory module is to generate short, 9:16 talking‑avatar videos for the User using artificial intelligence, for marketing, social media or communication purposes.

1.2 Short description of operation

  • Script (text, narration) is generated or provided by the User.
  • Voice is generated using AI voice models.
  • An avatar image is generated or uploaded by the User.
  • A talking‑avatar (lip‑sync) video is produced.
  • Subtitles and background music are generated.
  • The video is exported in downloadable form for the User.

The module does not publish, share or distribute the generated video; any public use of the video is solely the User's decision and responsibility.

2. AI usage and data transfer

2.1 Scope of AI usage

The module uses multiple artificial intelligence services (image generation, voice generation, lip‑sync, subtitling, music). The Service Provider aims to transfer only the minimum amount of data necessary for AI usage.

2.2 Scope of transferred data

The AI receives only the following information:

  • text provided by the User (script, narration),
  • avatar image uploaded or generated by the User,
  • text required for voice generation,
  • audio file required for lip‑sync video.

The Service Provider does not examine whether the content provided by the User contains personal data, trade secrets or unlawful elements; ensuring lawfulness is the User's responsibility.

2.3 Data security

The Service Provider applies data minimization during operation of the module and transfers only data necessary for processing to the AI provider.

3. Data retention and deletion

3.1 Temporary storage

Images, audio files and videos generated by the Social Factory module are stored temporarily solely for processing, preview and download.

3.2 Retention period

Generated content (avatar images, audio files, lip‑sync videos, subtitles, background music, exported videos) is retained for a maximum of 7 days.

After 7 days, all content is automatically and irreversibly deleted. The Service Provider cannot restore deleted content.

3.3 User responsibility

The User is responsible for downloading and storing generated videos and other content on their own devices, as the module is not intended for long‑term storage.

4. Pricing and billing

4.1 Basis of pricing

Use of the Social Factory module is subject to direct, usage‑based billing. Each action (script generation, voice generation, avatar image generation or upload, talking‑avatar video creation, subtitle generation, background music generation, export) incurs a separate fee.

4.2 Per‑action deduction

Fees for actions are deducted from the User's USD balance. Deduction occurs automatically when an action is initiated.

Current prices for actions are displayed in the module interface. The Service Provider may modify prices; modifications apply to future usage.

4.3 USD‑based operation

Module fees are defined in USD. The User's balance is converted to USD in accordance with the main GTC, and fees for actions are deducted from this balance.

4.4 Failed actions

If an action does not complete due to technical error, the fee is not deducted or is automatically re‑credited.

5. User responsibility

5.1 Lawfulness of content

The User bears exclusive responsibility for the content, accuracy and lawfulness of text, images and videos provided or generated. The Service Provider does not examine whether generated or uploaded content contains personal data, trade secrets or confidential information.

5.2 Explicitly prohibited content

Use of the module is explicitly prohibited for the following content:

  • sexual depiction of minors, pedophile content,
  • any sexual content involving children in data, images or videos,
  • symbols of totalitarian regimes (e.g. swastika, SS symbols, symbols of communist dictatorships),
  • hate‑inciting, racist or discriminatory content,
  • content supporting or promoting terrorism or violent extremism,
  • imitation of real persons' faces, voices or identities (deepfake),
  • generation of political figures, campaigns or political messages,
  • any content prohibited under Hungarian law or EU law.

The Service Provider is entitled to automatically block generation of prohibited content and to immediately terminate the User's account in case of abuse.

5.3 Responsibility for publication

The module does not publish, share or distribute generated videos. Any use of videos on public platforms is solely the User's responsibility.

6. Limitation of Service Provider's liability

6.1 Quality of results

The Service Provider does not guarantee that the generated avatar image is photorealistic, that voice and lip movement always match perfectly, or that the video meets all specific user requirements. The module operates on a “best effort” basis.

6.2 Business and marketing decisions

The User acknowledges that business, marketing or communication decisions based on videos generated by the module are made solely at the User's own risk.

7. Modification and termination of the module

7.1 Modification of functions

The Service Provider is entitled to modify, develop or restrict the functions, pricing and operation of the Social Factory module.

7.2 Termination of the module

The Service Provider is entitled to terminate the module in whole or in part. The User will be notified of termination in advance where technically and commercially reasonable.
